  1. IBM AND NON-IBM PRINTER TRADE-IN PROMOTION
  2.      For a limited time only, eligible customers can receive a
  3. credit by trading in designated installed IBM or non-IBM printers and
  4. purchasing 10 or more of the following replacement products:
  5. o   IBM 4230 Model 201
  6. o   IBM 4230 Model 202.
  7.      The replacement 4230 printers must be ordered on or before
  8. September 30, 1992.  The Date of Installation, as defined in the IBM
  9. Customer Agreement (ICA), must occur on or after July 7, 1992, but no
  10. later than October 30, 1992.
  11.      The amount of credit depends upon both the machine being
  12. traded in and on the replacement 4230 model. The number of
  13. replacement printers purchased must be equal to or greater than the
  14. number of replaced printers.
  15.      All customers are eligible for participation in this
  16. promotion.
  17.      Customers with existing special bid discounts may elect to
  18. take advantage of either this promotion or their discount.  Products
  19. acquired under this promotion will, however, count toward special bid
  20. commitments.  This promotion can be combined with all other discounts
  21. and allowances.
  22.      In accordance with the ICA, products acquired under this
  23. promotion are not to be resold, leased or transferred to a third
  24. party and are only for productive use in a qualifying location within
  25. the United States or Puerto Rico.
  26.      Participation in this trade-in promotion is in lieu of
  27. trade-in activity under the standard IBM Trade-In Agreement or any
  28. other trade-in promotion or offering on the replacement products.
  29.      IBM reserves the right to modify or withdraw this promotion at
  30. any time.

  32. OVERVIEW   ADDITIONAL INFORMATION
  33.            ELIGIBILITY REQUIREMENTS
  34. To receive the trade-in credit, customers must:
  35. o   Ensure that IBM receives, on or before the Date of Installation
  36. of the replacement machine:
  37.  -   The signed IBM Customer Agreement (ICA) Signature Page for
  38.      Attachments (Z125-4571) with the Trade-Ins Attachment
  39.      (Z125-4134) selected (unless previously signed), and
  40.  -   The ICA Addendum for Trade-Ins for Qualified IBM and Non-IBM
  41.      Printers (Z125-4897).
  42.  o   Have the replaced machine installed and in productive use in a
  43.      qualifying location on July 7, 1992, and on the date of signing
  44.      the Addendum.  The machines returned to IBM (except for non-IBM
  45.      alterations and attachments) must be the same as the ones
  46.      installed and in productive use on July 7, 1992.
  47.  o   Identify the machine to be replaced before signing the Signature
  48.      Page and/or Addendum.
  49.  o   Have the replacement machine installed within the same enterprise
  50.      where the replaced machine was in productive use within the
  51.      United States or Puerto Rico.
  52.  o   Have clear title to the replaced machine, free of any
  53.      encumbrances, at the time it is picked up by IBM's designated
  54.      carrier.
  55. TRADE-IN CREDITS
  56.      The trade-in credits earned under this promotion depend on both the
  57. machine being traded in and on the replacement machine being
  58. purchased, as follows:

  100.      Customers will receive the trade-in credits as follows:
  101.  o   Upon shipment of the replacement machines, customers will be
  102.      billed the single-unit purchase price, less any applicable
  103.      discounts or allowances for which they qualify under existing
  104.      agreements.  Invoices must be paid in full and not be netted in
  105.      anticipation of trade-in credits.
  106.  o   Customers who choose to finance a replacement machine through the
  107.      IBM Credit Corporation or another third party should understand
  108.      that the invoice will reflect the single-unit purchase price less
  109.      any applicable discounts.  These invoices must likewise be paid
  110.      in full and not be netted in anticipation of the trade-in credit.
  111.  o   Upon IBM's receipt and acceptance of the carrier's bill of
  112.      lading, listing each replaced machine by type and serial number,
  113.      customers will be issued the applicable trade-in credit.
  114.      REPLACED MACHINES
  115.           Each replaced machine must be available for pickup by IBM's
  116.      designated carrier within two months of the Date of Installation of
  117.      the replacement machine.
  118.           IBM is responsible for costs associated with the return of the
  119.      replaced machine to IBM and all destination charges, exclusive of any
  120.      rigging charges.  Customers may be billed for missing items.
  121.      Customers are responsible for removing any alterations,
  122.      non-IBM attachments and confidential data from the replaced IBM
  123.      machines.  All associated items such as cables, logics, kickplate,
  124.      terminators and power cords should be packed with the replaced
  125.      machines.
  126.          Customers are responsible for disconnecting the replaced
  127.      machines and preparing them for shipment before pickup.  Upon
  128.      request, IBM will prepare the machines for shipment at no charge to
  129.      the customer.  The IBM account team is responsible for notifying IBM
  130.      service to perform these functions.
  131.          Arrangements have been made with North American Van Lines to
  132.      facilitate the pickup and return of replaced machines to IBM.
  133.      Machines will be shipped via ground transportation.  Collect air
  134.      shipment is not permitted.
  135.          Customers must notify North American Van Lines that a replaced
  136.      machine is ready for pickup by calling 1-800-828-1676 between
  137.      8:00 a.m. and 4:30 p.m., Eastern time, and providing the machine
  138.      type, serial number, and destination.  The machine should be marked
  139.      "4230 PRINTER TRADE-IN" on the exterior packing.
  140.          All replaced machines should be sent to:

  146.           Replaced machines must be in good working order on the day
  147.      they are picked up by North American Van Lines.

  149.      IBM CREDIT CORPORATION OR OTHER THIRD-PARTY FINANCING
  150.      Replacement machines acquired under this promotion are eligible for a
  151.      range of IBM Credit Corporation term lease and installment payment
  152.      plans.
  153.           The lessee of a replaced machine financed by IBM Credit
  154.      Corporation may purchase the replaced machine and pay all related
  155.      buyout charges before trading it in to IBM.  The trade-in credit may
  156.      not be deducted from the purchase price.
  157.           Before a replaced machine financed via the Installment Payment
  158.      Agreement (IPA) or an Installment Payment Master Agreement (IPMA) is
  159.      returned to IBM, it must be paid for in full by the customer.
